DMCA & COPYRIGHT POLICY

Welya attaches fundamental importance to the respect and protection of intellectual property rights, both its own and those of third parties.
The Welya platform has been designed as an automated SaaS broadcasting technology enabling its Clients to stream their own content in connection with webinars—and more broadly, online events—for commercial, educational, or communication purposes.
In accordance with the Digital Millennium Copyright Act (DMCA – 17 U.S.C. §512), Welya maintains a clear procedure enabling rights holders to report any unauthorized use of copyright-protected content and, where appropriate, obtain the removal or disabling of access to infringing content.
This Policy describes the procedures under which Welya processes copyright infringement notices and counter-notifications, as well as the measures that may be taken regarding affected content or accounts.
DEFINITIONS
DMCA: Refers to the Digital Millennium Copyright Act (17 U.S.C. §512), a U.S. federal law governing online service provider liability and notice-and-takedown procedures regarding copyright infringement.
Welya: Refers to Welya, Inc., a corporation organized under the laws of the State of Delaware (United States), operating the Welya platform and providing the Service.
Service: Refers to all software, platforms, interfaces, infrastructure, and features provided by Welya under a Software as a Service (SaaS) model, enabling, in particular, the organization, automated broadcasting, hosting, recording, replaying, and technical analytics of webinars and interactive content.
Client / Client-Organizer: Refers to any natural or legal person acting in a professional capacity, who has created an account on the Welya platform and uses the Service to broadcast, host, or make available content, particularly in connection with webinars or online events.
Authorized User: Refers to any natural person expressly authorized by the Client to access the Service through its account, within the limits of the rights and features subscribed to, and acting under the sole responsibility of the Client.
Attendee / Participant: Refers to any person accessing a webinar, online event, or content broadcast via the Service, without holding a Client account.
Content: Refers to any element broadcast, hosted, transmitted, or made available via the Service, including audiovisual, audio, visual, text, graphic, promotional, commercial, educational, or interactive content.
User-Generated Content (UGC): Refers to any Content created, uploaded, transmitted, broadcast, or made available by a Client, Authorized User, or Attendee via the Service, without prior editorial control by Welya.
Copyright: Refers to all intellectual property rights protecting original works of authorship, as defined by applicable laws, particularly U.S. federal copyright law, including rights of reproduction, performance, adaptation, and distribution.
Rights Holder: Refers to any natural or legal person holding copyright or neighboring rights in Content, or validly authorized to act on behalf of the owner of such rights.
DMCA Notice: Refers to any notice of claimed copyright infringement submitted to Welya in compliance with the formal requirements of the Digital Millennium Copyright Act (17 U.S.C. §512).
Counter-Notification: Refers to a notice submitted by a user whose Content has been removed or disabled, seeking to contest the validity of a DMCA Notice pursuant to the requirements of the DMCA.
Allegedly Infringing Content: Refers to any Content that is the subject of a DMCA Notice or Counter-Notification under the procedure provided in this Policy.
Repeat Infringer: Refers to any user who has been the subject of multiple valid notices of copyright or intellectual property infringement, evaluated by Welya in terms of frequency and severity.
Designated DMCA Agent: Refers to the individual or department designated by Welya to receive and process DMCA Notices pursuant to the requirements of the Digital Millennium Copyright Act.
1. SCOPE OF APPLICATION
These provisions governing compliance with intellectual property rights and the Digital Millennium Copyright Act (DMCA – 17 U.S.C. §512) apply to all services provided by the Welya platform, as well as to all content broadcast, hosted, or made accessible through the Service, whether streamed live, simulated, or available on-demand (replay).
They form an integral part of:
The Terms of Service, and
Where applicable, the Privacy Policy,
into which they are expressly incorporated by reference.
These provisions apply to all content generated, transmitted, or broadcast by Clients, Authorized Users, or Attendees, including audio, video, visual, text, promotional, commercial, or educational content broadcast during webinars or via platform features.
Welya acts strictly as a technical service provider offering a SaaS infrastructure. In this capacity, Welya exercises no prior control over user-broadcast content and cannot systematically verify its legality, origin, or licensing rights.
Any use of the Service implies full and unreserved acceptance of:
The Terms of Service,
The Privacy Policy, and
These provisions regarding intellectual property protection and U.S. statutory reporting procedures.
These provisions apply regardless of the user's country of residence, as the Service is operated from the United States and is governed by U.S. federal copyright law.
2. COMPANY COMMITMENT TO INTELLECTUAL PROPERTY
Welya strictly respects copyright laws and, more broadly, all intellectual property rights protected under applicable laws. In this capacity, Welya implements a rigorous policy to prevent, detect, and address intellectual property infringements occurring through the Service.
2.1 Respect and Protection of Intellectual Property
Welya commits to respecting and protecting intellectual property rights, both its own and those of third parties. Welya acts in good faith and cooperates with rights holders to ensure compliance with applicable copyright and neighboring rights legislation.
2.2 Automated Streaming and Lack of Editorial Control
The Service operates through automated transmission mechanisms delivering content provided exclusively by Clients. Technical limitations of the Service (webinar duration limits, Attendee capacity, access restrictions, automated cut-offs, or functional limits) serve strictly operational purposes and do not constitute editorial intervention, content selection, or content monitoring under the DMCA.
2.3 Prohibition of Copyright Infringement
Any use of the Service involving the unauthorized broadcasting, reproduction, display, or exploitation of copyrighted content without a valid license is strictly prohibited. Confirmed or suspected copyright or intellectual property infringement may result in the immediate removal of the affected content, without prior notice or indemnity, alongside contractual sanctions.
2.4 Preventive Safeguards
To reduce intellectual property risks, Welya implements reasonable preventive measures, including:
Warning notices and liability reminders during content uploading or broadcasting;
Contractual covenants requiring users to warrant that they hold all necessary rights in broadcast content;
Technical and operational restrictions designed to prevent obvious unlawful uses of the Service.
2.5 Cooperation with Rights Holders
Welya diligently and impartially processes copyright infringement notices that comply with the formal requirements of the Digital Millennium Copyright Act (17 U.S.C. §512). Upon receipt of a valid notice, Welya promptly conducts statutory verifications and executes appropriate remedies.
2.6 Discretionary Enforcement Measures
In the event of confirmed or repeat infringements, Welya reserves the right to take appropriate action at its sole discretion, including:
Removing or disabling access to allegedly infringing content;
Temporarily or permanently suspending access to the Service;
Terminating the affected account;
Permanently banning access to the Service.
These actions are taken without prejudice to any legal or administrative remedies available to Welya or affected rights holders.
3. LIABILITY AND INDEMNIFICATION
3.1 Welya's Status as Technical Service Provider
Welya acts exclusively as a technical service provider offering a SaaS platform for Clients to organize and stream webinars. In this capacity, Welya:
Does not participate in creating, selecting, modifying, or approving user-broadcast content;
Exercises no prior editorial control over content generated, transmitted, or streamed via the Service;
Shall not be held liable for the legality, accuracy, quality, or compliance of content broadcast by Clients, Authorized Users, or Attendees.
Welya’s liability can only be engaged in the event of a proven breach of its statutory duties under the Digital Millennium Copyright Act (17 U.S.C. §512) or applicable mandatory regulations.
Welya shall not be held liable for content streamed by Clients, Authorized Users, or Attendees unless it has been validly notified of claimed copyright infringement and failed to act in accordance with DMCA statutory safe harbor procedures.
Real-time chat messages, questions, comments, polls, and interactions submitted by Attendees during webinars are published instantly without prior review by Welya. Such content remains under the sole responsibility of its authors and the Client-Organizer.
3.2 Responsibility of Client-Organizer
The Client-Organizer is solely responsible for:
Content created, uploaded, broadcast, or made available via the Service;
Securing all licenses, authorizations, and consents required to exploit broadcast content;
Complying with applicable laws, including intellectual property, data privacy, consumer protection, and advertising laws.
The Client agrees to defend, indemnify, and hold harmless Welya against any third-party claims, suits, or demands arising from content broadcast via the Service.
3.3 Responsibility for Authorized Users and Attendees
The Client assumes full liability for actions taken by its Authorized Users and Attendees while using the Service. Any violation of these Terms committed by an Authorized User or Attendee shall be deemed attributable to the Client-Organizer.
4. RECORDINGS, REPLAYS, AND ON-DEMAND MODES
When a Client enables, uses, or authorizes recording, replay, delayed streaming, or on-demand features on the Welya platform, the Client remains solely and exclusively responsible for:
Recorded or replayed content;
Intellectual property rights attached to such content;
Securing media releases and consents from speakers, Attendees, or third parties appearing in the content;
Full legal compliance of recorded materials.
The Client expressly acknowledges that Welya acts strictly as a technical provider and host, offering storage and technical delivery for recorded content without editorial intervention, selection, modification, or validation.
Recordings, replays, and post-live content are subject to the same legal rules and liability terms as live-streamed content. Alleged copyright violations involving recordings or replays will be processed under the DMCA notice-and-takedown procedure (17 U.S.C. §512).
5. TAKEDOWN NOTICES, COUNTER-NOTICES, REPEAT INFRINGERS, AND SANCTIONS
5.1 Processing a Copyright Notice
Upon receipt of a DMCA-compliant Notice of Claimed Infringement, Welya executes the following protocol:
Access to the allegedly infringing content is promptly disabled or removed;
The user who posted the content is notified without delay;
A copy of the content is preserved as evidence pursuant to legal obligations;
A copy of the takedown notice is forwarded to the affected user.
Welya acts strictly as a neutral technical provider and does not adjudicate substantive legal disputes between parties.
5.2 User Counter-Notification
If a user believes that content was removed or disabled as a result of mistake, misidentification, or authorized use, the user may submit a Counter-Notification.
To be valid, a Counter-Notification must include:
Clear identification of the removed content and its former location;
A statement under penalty of perjury that the user has a good-faith belief that the content was removed or disabled as a result of mistake or misidentification;
The user's name, address, and telephone number;
A statement consenting to the jurisdiction of the Federal District Court for the judicial district in which Delaware is located, and that the user will accept service of process from the complainant;
A physical or electronic signature.
Incomplete or non-compliant Counter-Notifications will not be processed.
5.3 Potential Content Restoration
If the original complaining party does not notify Welya within ten (10) to fourteen (14) business days following receipt of the Counter-Notification that it has filed a court action seeking a judicial order to restrain the user, Welya may, at its sole discretion, restore the removed content in accordance with DMCA provisions.
5.4 Repeat Infringer Policy
Welya maintains a zero-tolerance repeat infringer policy. Accounts determined by Welya to have engaged in repeated copyright or intellectual property violations may face:
Formal written warnings;
Temporary account suspension;
Permanent account termination;
A permanent platform ban.
Repeat infringer status is determined by Welya based on the frequency and severity of validated notices.
5.5 Contractual Sanctions
Independent of statutory DMCA procedures, Welya reserves the right to apply contractual remedies, including:
Content deletion;
Account suspension or termination;
Financial liability assessment where infringing acts cause damage to Welya.
These sanctions may be applied without notice or indemnity, and without prejudice to external legal remedies.
6. ANALYTICS AND STATISTICAL DATA
Statistical, technical, or analytical metrics automatically generated by the Service (connection logs, attendance durations, engagement indicators, technical performance metrics) do not constitute copyright-protected works of authorship.
Welya retains all rights to utilize such aggregate analytics for technical enhancement, security monitoring, and operational delivery of the Service.
7. DESIGNATED DMCA AGENT CONTACT INFORMATION
Pursuant to the Digital Millennium Copyright Act (17 U.S.C. §512(c)), Welya has designated an Agent to receive notifications of claimed copyright infringement.

8. AMENDMENTS TO THIS POLICY
Welya reserves the right to modify or update this DMCA & Copyright Policy at any time.
The active version is the version published on the platform on the date of access. Continued use of the Service following published modifications constitutes full acceptance of the revised Policy.
